Terms of Service

1. Acceptance
By accessing treespartner.org, our mobile applications, embeddable widgets, APIs or any related service (the "Platform") you accept these Terms of Service and our Privacy Notice. If you act for an organisation you warrant that you are authorised to bind it. These Terms are governed by the laws of the Republic of Kenya.
2. Definitions
"Donor" means a person making a financial or crypto contribution. "CFA" means a Community Forest Association registered under section 46 of the Forest Conservation and Management Act, 2016. "Nursery" means a licensed grower listed in our marketplace. "Escrow" means our trust-mechanism that holds funds until delivery confirmation. "Carbon Credit" means a verified emission reduction unit issued under Verra, Gold Standard, Plan Vivo or Kenya's National Carbon Registry.
3. Eligibility
You must be at least 18 years of age and have full legal capacity. Sanctioned individuals, entities on OFAC, UN or EU lists, and persons in jurisdictions prohibited under the Proceeds of Crime and Anti-Money Laundering Act, 2009 are excluded.
4. Donations and impact claims
Donations are non-refundable except where mandated by law or where escrow has not been released to a beneficiary. Carbon and biodiversity impact figures are estimates based on best-available science (allometric equations, Sentinel-2 NDVI, in-situ verification) and are not guarantees. Tree-survival is monitored for 5 years; replacement planting is performed at our cost where mortality exceeds 15%.
5. Marketplace & Escrow
Seedling and CFA-product purchases route through TreesPartner Escrow. Funds are released to the seller only after the buyer confirms delivery, or automatically after 7 days from delivery if no dispute is raised. Disputes are adjudicated by our independent disputes panel under the Kenyan Consumer Protection Act, 2012.
6. Crypto donations
Crypto contributions are accepted on the networks listed on /donate. Transactions are final and irreversible once confirmed on the underlying chain. We use Chainalysis screening; donations from sanctioned wallets are rejected and refunded where address ownership can be lawfully verified.
7. Acceptable use
You may not (a) misrepresent ownership of land or trees; (b) submit falsified GPS, satellite or photographic evidence; (c) interfere with platform integrity; (d) infringe the rights of others; (e) use the Platform to launder proceeds of crime. Breach may result in suspension and reporting to the Directorate of Criminal Investigations.
8. Intellectual property
All TreesPartner trademarks, software, satellite imagery analytics and certificate designs are owned by TreesPartner or its licensors. You receive a limited, non-exclusive, revocable licence to use the Platform for its intended purpose. CFAs and Nurseries grant us a worldwide royalty-free licence to publish project-level data and imagery for transparency.
9. Liability
To the maximum extent permitted by the laws of Kenya, our aggregate liability for any claim is limited to the greater of (i) the amount you paid in the 12 months preceding the claim, or (ii) USD 250. We are not liable for indirect, consequential, or loss-of-carbon-price damages.
10. Indemnity
You will indemnify TreesPartner against third-party claims arising from your breach of these Terms, your unlawful use of the Platform, or content you submit.
11. Termination
Either party may terminate on 30 days' notice; we may suspend immediately for security, fraud or legal compliance. Escrow funds in flight remain protected until resolution.
12. Governing law and disputes
These Terms are governed by Kenyan law. Disputes are submitted to mediation under the Nairobi Centre for International Arbitration Mediation Rules, failing which to the exclusive jurisdiction of the High Court of Kenya at Nairobi.
